Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you or the organisation you represent ("Customer", "you") and Anchor Cyber Security LLC ("Anchor Cyber Security LLC", "we", "us") governing your use of the BitDrip software and the portal.bitdrip.app licensing service.

By registering an account at portal.bitdrip.app, downloading the BitDrip installer bundle, or installing and running BitDrip on your infrastructure, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

2. License Grant

Subject to your compliance with these Terms and timely payment of applicable fees, Anchor Cyber Security LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

  • Download and install BitDrip on servers or containers within your own infrastructure
  • Run BitDrip for your internal business purposes
  • Use the BitDrip dashboard, API gateway, and policy engine components as a unit

The license is scoped to the user count of your subscription tier:

Community
Up to 10 users
Free
Starter
Up to 50 users
$1,500 / year
Professional
Up to 250 users
$5,000 / year
Enterprise
Custom
As contracted

"Users" means the number of individuals whose AI service traffic is routed through and monitored by your BitDrip installation.

3. Restrictions

Unless expressly permitted by these Terms or applicable law, you must not:

  • Resell, rent, lease, or otherwise make BitDrip available to third parties as a managed service or commercial offering
  • Sublicense your license rights to any other person or entity
  • Circumvent, disable, or interfere with the license validation mechanism (the periodic fingerprint check)
  • Reverse engineer, decompile, or disassemble the license validation components of the software
  • Remove, alter, or obscure any copyright, trademark, or proprietary rights notices in the software or its documentation
  • Use BitDrip to process traffic for users beyond your licensed user count without first upgrading your subscription
  • Use BitDrip in violation of any applicable law or regulation

4. Subscription & Payment

Paid subscriptions are annual and billed upfront. Current pricing:

  • Starter — $1,500 per year (up to 50 users)
  • Professional — $5,000 per year (up to 250 users)
  • Enterprise — custom pricing as set out in your order form

All prices are in US Dollars and exclusive of applicable taxes. Payment is processed by Stripe. You authorise us to charge your payment method on file for each renewal.

Refund policy: We offer a full refund if you request cancellation within 30 days of your initial purchase or renewal date. After 30 days, no refund is provided for the current subscription period.

Auto-renewal: Subscriptions renew automatically at the then-current annual price. To prevent renewal, you must cancel your subscription through the portal or by emailing contact@anchorcybersecurity.com at least 14 days before your renewal date. We will send a renewal reminder at least 30 days before each renewal.

5. License File

Upon payment, we will issue you a signed license.jwt file. This file is the cryptographic proof of your entitlement and is:

  • Tied to your registered organisation as provided at registration
  • Non-transferable — it may not be shared with, or used by, any other organisation
  • Required to be present in your BitDrip installation directory for the software to operate

Material breach: Sharing your license.jwt with any organisation other than your own — or allowing its use in an installation not operated on your behalf — is a material breach of these Terms and will result in immediate license revocation without refund.

If your license file is lost or compromised, contact contact@anchorcybersecurity.com to request a replacement. We reserve the right to require identity verification before issuing a replacement.

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANCHOR CYBER SECURITY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Any implied warranty of merchantability or fitness for a particular purpose
  • Any warranty that the software will be error-free, uninterrupted, or free of security vulnerabilities
  • Any warranty that the software will meet your specific compliance or regulatory requirements
  • Any warranty regarding the accuracy or completeness of detection rules or compliance profiles

You are responsible for evaluating whether BitDrip is appropriate for your environment and compliance obligations. We recommend testing in a non-production environment before wide deployment.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Anchor Cyber Security LLC's total cumulative liability to you for any claims arising out of or related to these Terms or the software shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
  • In no event shall Anchor Cyber Security LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, even if advised of the possibility of such damages.

These limitations apply regardless of the legal theory under which the claim arises (contract, tort, statute, or otherwise) and shall survive any failure of essential purpose of a limited remedy.

8. Termination

By you: You may terminate these Terms at any time by cancelling your subscription through the portal and ceasing all use of the software. Refunds are subject to the policy in Section 4.

By us: We may terminate or suspend your license immediately and without notice if:

  • You materially breach these Terms and fail to cure the breach within 10 days of written notice
  • Payment lapses and is not remedied within 10 days of the due date
  • You share or misuse the license file as described in Section 5
  • We are required to do so by law or court order

Effect of termination: Upon termination, your license immediately expires. You must uninstall BitDrip from all systems and cease all use. Anchor Cyber Security LLC may deactivate your license file, rendering the software non-operational. Sections 3, 6, 7, 9, and 10 survive termination.

9. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction of the state and federal courts located in Virginia, United States. You irrevocably submit to the personal jurisdiction of those courts and waive any objection based on venue or inconvenient forum.

10. General Provisions

  • Entire Agreement: These Terms, together with any applicable order form or enterprise agreement, constitute the entire agreement between the parties regarding BitDrip and supersede all prior representations, negotiations, and understandings.
  • Amendments: We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email to your registered address. Continued use after the effective date constitutes acceptance.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of the right to enforce it in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control.
